Acceptable Use Policy

This Acceptable Use Policy (“AUP”) governs all content published on and activities conducted through the CRCLX Platform by Fans, Creators, and any other users. This AUP is incorporated into the Terms of Service and applies to all users of the Platform. Violations may result in content removal, account suspension, or permanent termination.
1. Prohibited Content
The following types of content may not be published, shared, uploaded, or transmitted on the Platform:
- Adult or sexually explicit content — including nudity, pornography, or sexually suggestive material. CRCLX is not an adult content platform.
- Illegal content — any content that is unlawful under South African law or the laws of the jurisdiction from which it is created or accessed, including content that promotes, facilitates, or depicts illegal activities.
- Hate speech and discrimination — content that promotes hatred, discrimination, or violence against any person or group based on race, ethnicity, religion, gender, sexual orientation, disability, nationality, or any other protected characteristic, in violation of the South African Constitution and the Promotion of Equality and Prevention of Unfair Discrimination Act.
- Harassment and threats — content targeting individuals with the intent to intimidate, harass, bully, or cause distress. This includes doxxing (publishing private personal information without consent).
- Intellectual property infringement — content that infringes the copyright, trademark, or other intellectual property rights of any third party, including re-uploading copyrighted material without authorisation.
- Misleading or fraudulent content — content that makes materially false claims designed to deceive Fans into purchasing a Membership, impersonates another person or organisation, or constitutes consumer fraud.
- Spam and unsolicited commercial content — bulk unsolicited promotional messages, pyramid schemes, or multi-level marketing solicitations within Circle communities.
- Content harmful to minors — any content that exploits, sexualises, or endangers children, in violation of South African law. Such content will be reported immediately to law enforcement authorities.
2. Prohibited Activities
The following activities are prohibited on the Platform:
- Money laundering or financial crime — using the Platform to conceal the origins of funds, engage in structuring, or facilitate any activity that constitutes a financial crime under South African law or the Financial Intelligence Centre Act (FICA).
- Fraud — any act intended to obtain money or access under false pretences, including creating fake accounts, misrepresenting the nature of a Circle, or initiating fraudulent chargebacks.
- Account sharing — sharing your login credentials with others, or allowing multiple people to use the same account. Each account is for one individual only.
- Scraping and automated access— using bots, crawlers, or automated tools to access, extract, or download Platform content without CRCLX’s prior written consent.
- Circumvention — attempting to bypass or defeat any technical protection measures, access controls, watermarking, content protection, or digital rights management systems on the Platform.
- Impersonation — creating an account or publishing content designed to deceive others into believing you are a CRCLX employee, another Creator, a public figure, or any organisation you do not represent.
- Platform interference— attempting to disrupt, overload, or interfere with the Platform’s infrastructure, including distributed denial of service (DDoS) attacks, injection attacks, or unauthorised access to backend systems.
- Resale of access— reselling, sublicensing, or commercially exploiting your Membership or any Content you have access to, without CRCLX’s express written consent.
3. Financial Regulation Compliance
Users may not use the Platform for any activity that would cause CRCLX to be regulated as a financial institution, payment service provider, or fund custodian.
Without limiting the generality of the foregoing, the following specific activities are prohibited:
- Using a Circle as a vehicle for an investment scheme, collective investment scheme, or any arrangement that offers financial returns to participants in exchange for contributions.
- Fundraising for unregistered securities or financial instruments, including token sales, initial coin offerings, or crowd-investment schemes not compliant with South African securities law.
- Peer-to-peer money transmission between users outside the standard Circle purchase flow — including using the Platform as a means to transfer funds between individuals.
- Any activity that would cause CRCLX to act as a custodian of user funds, hold funds on behalf of users for withdrawal, or operate a stored-value or e-money scheme.
- Representing to any third party that CRCLX is a financial institution, payment service provider, or holds regulatory authorisation that it does not hold.
This clause exists to protect both users and CRCLX. CRCLX is a marketplace operator. Any activity that would impose financial regulatory obligations on CRCLX beyond those of a marketplace facilitator is expressly prohibited and will result in immediate account termination and potential referral to regulatory authorities.
4. Enforcement
CRCLX may take any of the following actions in response to a violation of this AUP, proportionate to the severity and nature of the breach:
- Warning — a formal notice that the activity or content violates this AUP, with a requirement to remedy the breach within a specified period.
- Content removal — immediate removal of content that violates this AUP.
- Temporary suspension — suspension of access to some or all Platform features pending investigation or remediation.
- Permanent account termination — permanent removal from the Platform for serious, repeated, or egregious violations.
- Settlement forfeiture — for Creator violations involving fraud, material misrepresentation, or content that led to widespread refund claims, CRCLX may withhold or offset outstanding settlement amounts against losses incurred.
- Legal referral — for violations involving illegal content (particularly content harmful to minors), fraud, or financial crime, CRCLX will refer the matter to the South African Police Service (SAPS), the Financial Intelligence Centre (FIC), or other appropriate authorities.
5. Reporting Violations
If you encounter content or conduct on the Platform that you believe violates this AUP, please report it immediately to:

Subject line: “Content Report” — please describe the content or conduct and include any relevant usernames or Circle names.
We take all reports seriously and aim to respond within 2 business days. Reports are kept confidential to the extent possible consistent with investigating the complaint and complying with legal obligations.
6. Cooperation with Authorities
CRCLX cooperates fully with South African law enforcement, the Financial Intelligence Centre (FIC), the South African Revenue Service (SARS), the Information Regulator, and any other competent regulatory or judicial authority. Where required by law or court order, CRCLX will disclose user information, content, and transaction records to the relevant authorities.
Where legally permissible, CRCLX will notify affected users of such disclosure requests before complying. CRCLX will not disclose user information voluntarily to third parties beyond what is required by law or this AUP.
